End User Licence Agreement

This End User Licence Agreement ("Agreement") governs use of the Hart Square MCP application (the "Application"), an internal software tool operated by Hart Square Consulting Ltd ("Hart Square", "we", "us") and made available at mcp.hartsquare.co.uk.

1. Who may use the Application

The Application is licensed for use solely by employees and authorised contractors of Hart Square. It is not offered to the public and is not available for purchase, resale or general distribution.

2. Licence

Hart Square grants authorised users a non-exclusive, non-transferable, revocable licence to use the Application for Hart Square's internal business purposes only. Users may not copy, modify, distribute, sublicense or reverse engineer the Application.

3. What the Application does

The Application converts documents to Markdown and connects to QuickBooks Online via Intuit's APIs to read accounting reports and records and to create customers, invoices and expenses in Hart Square's own QuickBooks company. It cannot modify or delete existing QuickBooks records.

4. QuickBooks and third-party services

Access to QuickBooks data requires each user to sign in with their own Intuit account. Use of QuickBooks Online remains subject to Intuit's terms of service. Hart Square does not store QuickBooks sign-in credentials; authorisation tokens issued by Intuit are stored securely and used only to perform actions the user requests.

5. Data

The Application processes business data belonging to Hart Square. Activity is logged (user, action, time) for audit purposes. Personal data is handled in accordance with the Hart Square privacy policy at hartsquare.co.uk/privacy-policy.

6. Acceptable use

Users must not use the Application to access data they are not authorised to see, to create false or misleading accounting records, or in any way that breaches applicable law or Hart Square's internal policies.

7. Availability and warranty

The Application is provided "as is" for internal convenience. Hart Square does not warrant uninterrupted or error-free operation and may suspend, change or withdraw the Application at any time.

8. Liability

Nothing in this Agreement excludes liability that cannot be excluded by law. To the maximum extent permitted by law, Hart Square accepts no liability for indirect or consequential loss arising from use of the Application.

9. Termination

This licence ends automatically when a user ceases to be employed or engaged by Hart Square, or on revocation by Hart Square at any time.

10. Governing law

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
